1. Acceptance of Terms

Welcome to Manna. By accessing or using the Manna platform at app.manna.com, secure.manna.com, or any related websites, APIs, or services (collectively, the “Platform”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Platform.

Manna, Inc. (“Manna,” “we,” “us,” or “our”) reserves the right to update these Terms at any time. We will notify you of material changes by posting the updated Terms on the Platform and updating the “Last updated” date. Your continued use of the Platform after such changes constitutes acceptance of the revised Terms.

2. Platform Overview

Manna is a nonpartisan political fundraising platform that enables candidate committees, political action committees (PACs), Super PACs, nonprofits, and 501(c)(4) organizations (“Organizations”) to create donation pages, process contributions, and manage donors. Individuals (“Donors”) use the Platform to make contributions to Organizations.

Manna is a technology provider and payment facilitator. Manna does not endorse, support, or oppose any candidate, party, or political position. We provide equal access to all lawful organizations regardless of political affiliation.

3. Eligibility

You must be at least 18 years of age to use the Platform. By creating an account or making a contribution, you represent that you are at least 18 years old and have the legal capacity to enter into a binding agreement.

Organizations must be lawfully established and authorized to solicit and receive contributions under applicable federal, state, and local laws.

4. Accounts

4.1 Registration

To use Organization features, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

4.2 Organization Accounts

Each Organization account has designated roles (Super Admin, Admin, Treasurer, Staff) with varying levels of access. The Organization is responsible for managing member roles and permissions. Manna is not liable for actions taken by authorized members of an Organization account.

5. Donations and Payments

5.1 Payment Processing

All payments are processed through Stripe, Inc. (“Stripe”) via Stripe Connect. By using the Platform, you agree to Stripe’s Connected Account Agreement and Privacy Policy.

5.2 Platform Fee

Manna charges a platform fee of 3.9% + $0.30 on each successful transaction. This fee is deducted from the donation amount before funds are deposited to the Organization’s connected Stripe account. Stripe’s standard processing fees are included in this rate.

5.3 Donor Representations

By making a contribution through the Platform, you represent and warrant that:

• You are a United States citizen or lawfully admitted permanent resident.
• The contribution is made from your own funds and is not provided by another person or entity.
• You are at least 18 years of age.
• You are not a federal government contractor (for contributions to federal candidates and PACs).
• The contribution does not exceed applicable contribution limits under federal, state, or local law.
• The information you provide (name, address, occupation, employer) is accurate and complete.

5.4 Refunds

Refund eligibility is determined by the receiving Organization. Organizations may issue full or partial refunds through the Platform. Manna’s platform fee is non-refundable once a transaction has been successfully processed. Stripe’s refund policies also apply.

6. Campaign Finance Compliance

Organizations are solely responsible for compliance with all applicable campaign finance laws, including but not limited to the Federal Election Campaign Act (FECA), FEC regulations, and applicable state and local campaign finance laws.

Manna provides tools to assist with compliance (such as collecting required donor information including name, mailing address, occupation, and employer), but does not provide legal advice and does not guarantee compliance. Manna enforces federal contribution limits where applicable but cannot track contributions made through other platforms or channels.

Organizations are responsible for filing all required campaign finance reports, including FEC reports, state disclosure reports, and any other regulatory filings.

7. Tax Treatment

Contributions to political campaigns and PACs are not tax-deductible. Donations to qualified 501(c)(3) nonprofits may be tax-deductible; consult your tax advisor. Donations to 501(c)(4) organizations are generally not tax-deductible. Manna does not provide tax advice.

8. Prohibited Uses

You may not use the Platform to:

• Violate any applicable law, regulation, or third-party right.
• Process fraudulent or unauthorized transactions.
• Make contributions using a false identity or on behalf of another person or entity (straw donor contributions).
• Make contributions from foreign nationals or foreign entities.
• Circumvent contribution limits or reporting requirements.
• Transmit malware, viruses, or other harmful code.
• Interfere with the operation of the Platform or any other user’s use of the Platform.
• Scrape, harvest, or collect data from the Platform without authorization.

9. Intellectual Property

The Platform, including its design, text, graphics, logos, and software, is the property of Manna, Inc. and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, modify, or distribute any content from the Platform without our prior written consent.

Organizations retain ownership of all content they upload to the Platform, including logos, images, and page copy. By uploading content, you grant Manna a non-exclusive, royalty-free license to display that content on the Platform as necessary to provide the service.

10. Disclaimer of Warranties

The Platform is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Manna does not warrant that the Platform will be uninterrupted, error-free, or secure.

11. Limitation of Liability

To the maximum extent permitted by law, Manna, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your use of the Platform.

Manna’s total liability for any claim arising from or relating to these Terms or the Platform shall not exceed the total fees paid by you to Manna in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Manna, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your use of the Platform, your violation of these Terms, or your violation of any applicable law.

13. Termination

Manna may suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination (including liability limitations, indemnification, and dispute resolution) shall survive.

14. Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Platform shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in Delaware.

You agree to waive any right to a jury trial or to participate in a class action lawsuit or class-wide arbitration.
